GDPR-EU data protection law 

EU Data Protection Law” encompasses all legislation governing data protection within Europe, inclusive of (i) the General Data Protection Regulation (GDPR) – Regulation 2016/679 of the European Parliament and the Council, focusing on safeguarding personal data processing and its unhindered movement; (ii) Directive 2002/58/EC, which addresses personal data processing and privacy safeguarding within the electronic communications sector; (iii) national adaptations of (i) and (ii); and (iv) concerning the United Kingdom (“UK”), any pertinent national statutes replacing or transmuting the GDPR or other legislations pertinent to data and privacy following the UK’s departure from the European Union.

Europe” For the purposes of this Data Protection Agreement (DPA), “Europe” denotes the geographical expanse of the European Union, the European Economic Area, their respective member states, Switzerland, and the United Kingdom.

Non-EU Data Protection Laws” pertain to regulations such as the California Consumer Privacy Act (CCPA), the Canadian Personal Information Protection and Electronic Documents Act (PIPEDA), and the Brazilian General Data Protection Law (LGPD) – Federal Law no. 13,709/2018.

SCCs” refers to the standard contractual clauses established for processors, duly sanctioned by either the European Commission or the Swiss Federal Data Protection Authority, applicable solely to the transfer of Customer Data originating from the European Union.

Services Data” encompasses any information pertaining to the Customer’s utilization, support, and/or management of the Services, inclusive of data concerning usage volumes, activity logs, frequencies, bounce rates, or any other pertinent details concerning emails and other communications generated and dispatched by the Customer through the Services.

  • Parties’ roles: Should EU Data Protection Law or the LGPD be applicable to the processing of Customer Data by either party, it is acknowledged and agreed by the parties that the Customer, as detailed in Annex A (Details of Data Processing) of this DPA, acts as the controller while the other party acts as a processor on behalf of the Customer.
  • Purpose limitation: Happy Dog will only process Customer Data in accordance with documented lawful instructions provided by the Customer within this DPA, as required to comply with relevant laws, or as mutually agreed upon in writing (“Permitted Purposes”). The Agreement constitutes the entirety of the Customer’s instructions to Happy Dog regarding the processing of Customer Data. Any processing beyond these instructions will necessitate prior written agreement between the parties.
  • Prohibited data. The Customer shall refrain from providing (or causing to be provided) any Sensitive Data to Happy Dog for processing under the Agreement. Happy Dog bears no liability whatsoever for Sensitive Data, whether in relation to a Security Incident or otherwise. It is clarified that this DPA does not encompass Sensitive Data.
  • Customer compliance: Customer compliance: The Customer affirms and guarantees that (i) it has adhered to, and will continue to adhere to, all relevant laws, including Data Protection Laws, concerning its processing of Customer Data and any processing directives issued to Happy Dog; and (ii) it has furnished, and will continue to furnish, all necessary notices and has obtained, and will continue to obtain, all consents and rights as required under Data Protection Laws for Happy Dog to process Customer Data as outlined in the Agreement. The Customer bears sole responsibility for the accuracy, integrity, and lawfulness of Customer Data and the methods by which Customer obtained such data. Without limiting the foregoing, the Customer agrees to comply with all applicable laws (including Data Protection Laws) pertaining to any emails or other content generated, sent, or managed through the service, including those relating to consent acquisition (where necessary), email content, and email deployment practices.
  • The lawfulness of Customer’s instructions: The Customer shall ensure that the processing of Customer Data in the United Kingdom, as per Customer’s instructions, does not cause Happy Dog to breach any relevant law, regulation, or rule, including, but not limited to, Data Protection Laws. Happy Dog shall promptly notify the Customer in writing, unless prohibited by EU Data Protection Laws, upon becoming aware or having reason to believe that any data processing instruction from the Customer contravenes the GDPR or any UK GDPR implementation.
